Act of Incorporation

Section 1. That, Mrs. Joseph E. Sheffield, Mrs. Eli blake, Jr., Mrs. Judson A. Root, Mrs. Justice S. Hotchkiss and Mrs. George W. Staples, all of the Town and Country of New Haven, and their successors, be and they are hereby declared, made and constituted a body politic and corporate, in law and in fact, to have continuance forever, by the name, style and title of The Home for the Friendless.

The use of the title the Mary Wade Home by the corporation existing under the name of The Home for the Friendless is authorized, and all gifts to, contracts with, conveyances to or by, or other acts affecting said corporation by either of said names, shall be valid. The aceptance of this Act by said corporation shall not operate to subject its charter to repeal, alteration or amendment, without its consent.

Section 2. Said corporation is formed for the purpose of providing a home for needy persons who are temporarily or permanently unable to provide for themselves, and who have no other sufficient means of support, including the provision of a retreat for vagrant, idle and homeless girls, where they shall be furnished with honest employment, and be placed under sch moral influeces as will be calculated to make them useful and honorable members of society.

Section 3. Said corporation may sue and be sued, and prosecute and defend suits in all courts in this State; may have and use a commn seal and alter the same at pleasure; may receive, hold and possess any estate, real or personal, by subscription, gift, grant, devise, in trust or otherwise, and the same improve, lease, exchange, or sell and convey, provided that said corporation shall not hold real estate of greater value than Two Hundred Thousand Dollars.

Section 4. Said corporation shall have power to hold meetings and elect such officers, and in such a manner as their Constitution and By-Laws shall prescribe; and the present officers of the voluntary Association now existing under the name of The Home for the Friendless shall be the officers of the corporation hereby created until others are chosen in their stead.

Section 5. Said corporation shall have power to make a Constitution and By-Laws for the regulation of said corporation and the management and disposition of its property; and to make contracts relative to the objects of the Institution not repugnant to the laws of the State or of the United States.

Section 6. This resolve may be amended, altered, or repealed, at the pleasure of the General Assembly.

Section 7. No officer, member, shareholder or employee of this corporation shall receive or be lawfully entitled to receive any pecuniary profit from the operation thereof, except reasonable compensation for services in effecting one or more of its charitable purposes, or as a proper beneficiary of its strictly charitable purposes. If said corporation shall dissolve, no portion of its assets shall be distributed, or be distributable among any of its officers, members, shareholders or employees, but such assets shall be and remain for the charitable purposes for which they were given and shall be administered by some proper authority.
